KBE BYLAW AMMENDMENTS

Currently: 8. The property and business of the Society shall be managed by the Boardof Directors. The Board of Directors shall consist of not less than five (5) and not morethan eight members of which a majority shall constitute a quorum. Where there areeight (Directors, the Board shall be composed of the following:a. Two (2) Directors from the Blood Tribe Council;b. Two (2) Directors from the Members at Large; and(i) Two (2) Directors from members at large from among their number who are leasttwenty (21) years of age.c. Four (4) Directors who are the PAC Chairpersons.(i) Four (4) Directors who are the PAC Chairpersons who is a Member of the Societywho is at least twenty-one (21) years of age.(ii) A parent or grandparent of a student attending one of the Schools.(iii) Each Parent Advisory Committee shall appoint from among their number aChairperson whose terms of office shall be two (2) years or until their successors areappointed.

Currently: 9. The Chief and Council shall appoint two (2) persons from within theirnumber to sit on the Board of Directors and whose terms of office shall be determinedby Council or shall be concurrent with their terms on Council. The Chief is a memberof the Board of Education, ex officio with all rights as a Director.

Change to: 9. The Chief and Council shall appoint two (2) persons from within theirnumber to attend meetings of the Board of Directors as non-voting observers and toprovide a liaison with Chief and Council. The Chief is a member of the Board ofEducation, ex officio, with all rights as a Director.

Currently: 10. The members of the Society shall elect two (2) Members at Large to siton the Board of Directors and whose term of office may be (2) years or until theirsuccessors are elected.

Change to: 10. The members of the Society shall elect two (2) Members at Large to siton the Board of Directors and whose term of office may be (4) years or until theirsuccessors are elected and to coincide with the tribal election.

Currently: 11. Each Parent Advisory Committee, of which there are four (4), shallappoint their respective Chairpersons to sit on the Board of Directors and whose term ofoffice may be two (2) years or until their successors are appointed.

Change to: 11. Each Parent Advisory Committee, of which there are four (4), shallappoint their respective Chairpersons to sit on the Board of Directors and whose term ofoffice may be four (4) years or until their successors are appointed. The term of officeshall immediately terminate at such time as the Parent Advisory CommitteeChairperson no longer as a child or grandchild in a school of the Society.

Currently: 16. There shall be four (4) Parent Advisory Committees, each consisting offive (5) members, who are elected by the Members of the Society and whose termsshall be two (2) years or until their successors are appointed.

Currently: 17. In order to be eligible to be elected to a Parent Advisory Committee, anindividual must be:a. a Member of the Society who is at least twenty-one (21) years of age; andb. a parent, grandparent, or legal guardian of a student attending one Schools.

Change to: 17. In order to be eligible to be elected to a Parent Advisory Committee, anindividual must be:a. a Member of the Society who is at least twenty-one (21) years of age; andb. a parent, grandparent, or legal guardian of a student attending one Schools.c. a person who is not an employee of a school or other entity to which the Society hasa financial obligation by way of tuition agreement or otherwise.”

Currently:18. Each Parent Advisory Committee shall appoint from among their numbera Chairperson whose term of office shall be two (2) years or until their successors areappointed.

Change to: 18. Each Parent Advisory Committee shall appoint from among theirnumber a Chairperson whose term of office shall be four (4) years or until theirsuccessors are appointed

Currently: 19.i. Must not be an employee of a school and/or entity with which theSociety has a tuition agreement and/or financial obligations to.

Change to: 19.i. Must not be an employee of a school or other entity to which theSociety has a financial obligation by way of tuition agreement or otherwise.

Currently: 24.c. if the vacancy is by the PAC Chairperson, the office shall be filled bythe respective Parent Advisory Committee.

Change to: 24.c. if the vacancy is by a PAC Chairperson, the office shall be filled bythe Chairperson selected by the respective Parent Advisory Committee and approved bythe Board of Directors, provided that if no Chairperson is selected, then the Board ofDirectors may, in its discretion, appoint a member of the respective Parent AdvisoryCouncil to fill the vacancy with consideration given to any recommendation of theParent Advisory Committee.

Currently: 27. Meetings of the Board of Directors may be held at any time and place asdetermined by the Board and two (2) clear days notice of such meeting shall be sent inwriting to each Borad member, or posted at the head office of the Society, providedthere shall be at least one (1) meeting per month of the Board. No error or omission isgiving notice of any meeting of the Board or any adjourned meeting of the Board shallInvalidate such meeting or make voice any proceeding taken thereat and any Boardmember may at any time waive notice of any such meeting and may ratify, approve andconfirm any or all proceedings taken thereat or had thereat, Subject to Section 44, eachBoard member shall be entitled to one (1) vote on any issue at any meeting of the Boardof Directors. The Chairman or any four (4) Directors may call a special meeting of theboard so long as the Directors were given notice as provided herein.

Change to: (last sentence) 27. The Chairman or any four (4) Directors may call aspecial meeting of the Board on less than two (2) days notice where the issue to beaddressed is time sensitive, so long as each of the Directors is given notice in writing orby electronic means prior to the meeting.

Currently: 42. Officers shall be appointed by ordinary resolution of the Board ofDirectors from among their numbers and shall hold office immediately after election fora two (2) year term from the date of their appointment or until their successors areappointed.
